Krrish Chowdhry (the licensor, hereinafter referred to as the "Seller", “DJ KC”, ”producer”, ”licensor”), in accordance with the terms stated in this Agreement and for certain monetary compensation, including contingent compensation as described herein, grants the licensee (hereinafter referred to as the “buyer”, “licensee”) rights as defined below to the following musical composition “Beat Name” (hereinafter referred to as the “Instrumental”, “composition”, “Beat Name”)
 
By purchasing this composition it is understood that the licensee has read and agrees to the terms of the license.
 
MASTER TRACKS RIGHTS AGREEMENT
This agreement is made by and between Krrish Chowdhry and the Licensee, for the non-exclusive, non-transferable right to use the musical composition for all commercial recording, performing, broadcasting and distribution purposes. Krrish Chowdhry maintains full copyright ownership of the Instrumental, both in its mixed and trackedout/Stems forms.
 
RIGHTS GRANTED: This license permits the non-exclusive use of the Composition or any portion thereof in 1 recording made in connection with the Composition, including the non-exclusive right to perform, broadcast and distribute any derivative thereof. The licensee is further granted the right to produce one music video incorporating the instrumental. This license is non-assignable and any attempt to reproduce, share or resell the Composition itself is strictly prohibited. The licensee cannot use the composition as a background element in TV, Film and DVD projects without obtaining written consent and or another license agreement.
 
Krrish Chowdhry has the right to exhibit this composition on the Internet or elsewhere as a part of Krrish Chowdhry’s own marketing and promotional efforts. Krrish Chowdhry has the right to continue to sell this composition on the Internet or elsewhere as seen fit by Krrish Chowdhry. Furthermore, the licensee acknowledges that the compensation may or may not have previously been sold in conjunction with a non-exclusive or free license.
 
WARRANTIES: Unless otherwise agreed in writing, Krrish Chowdhry offers the Composition as-is and makes no representations or warranties of any kind concerning the work, including, without limitation, warranties of title, merchantability, fitness for a particular purpose, non infringement, or the absence of latent or other defects, accuracy, or the presence or absence of errors, whether or not discoverable. Krrish Chowdhry warrants that the Instrumental contains only sounds properly licensed to Krrish Chowdhry or created by Krrish Chowdhry, and contains no samples that require third-party copyright clearance or licensing. Any sounds added here on out are the sole responsibility of the licensee.
 
ROYALTIES: Royalties for the sale, distribution, broadcast and performance of any derivative of the Composition shall be allocated as follows:
Writing Shares:
50% - Producer - (Your writers name) BMI or ASCAP IP #
50% - Licensee
Publisher Shares:
50% - Publisher - (your Publisher name) BMI or ASCAP IP #
50% - Licensee
 
Credit: The licensee shall include a credit on all physical and electronic copies of the New Work and the master sound recording acknowledging Seller’s role in the creation of the New Work. Acceptable printed credit include: “(Prod. by DJ KC)”. 
Videos or films incorporating the composition must contain this credit. Said credit shall be provided and displayed with all deployments of the composition on streaming and sharing services such as Pandora, Spotify, YouTube, and all similar services.
 
TERMINATION: This License and the rights granted hereunder will terminate automatically upon any breach by Licensee of the terms of this License.
